Terms of Service
In short
- Trackero is a business tool for creating QR codes and short links and measuring how they perform.
- You are responsible for what your codes and links point to and for telling the people who scan them about tracking.
- Paid plans renew automatically until you cancel. You can cancel at any time and keep access until the end of the period you paid for.
- If we ever shut Trackero down, we give you at least 60 days' notice, time to export your data, and a pro-rata refund of prepaid fees.
- Printed QR codes depend on our redirect service. Deleting your account, or the end of the Service, stops them working.
- If you connect your own domain, you must own it or have permission to use it, and you are responsible for keeping it registered and its DNS records in place. Links on it only work while you do.
- If you are a consumer, you keep all rights that the law in your country gives you.
This summary is for convenience only. The full text below is what applies.
These Terms of Service (the "Terms") form a binding agreement between you and Mihail Hummel, ET, registered office Tsar Ivan Aleksandar 116, 9700, Shumen, Bulgaria, registered with [Commercial register / registry court] under number 181486575 ("Trackero", "we", "us"). They govern your access to and use of the Trackero website at https://trackero.co, the web application at https://app.trackero.co, the redirect service at shoort.link and on Custom Domains, public client dashboards, and all related services and features (together, the "Service").
The following documents form part of these Terms and apply to you as well:
- the Subscription, Cancellation & Refund Policy (the "Subscription Policy");
- the Acceptable Use Policy (the "AUP");
- for Business Customers, the Data Processing Agreement (the "DPA").
Our Privacy Policy and Cookie Policy explain how we handle personal data. They are information notices and not contract terms.
If there is a conflict, the following order applies: (1) any individually signed agreement between you and us, (2) the DPA (for data protection matters), (3) these Terms, (4) the Subscription Policy, (5) the AUP.
1. Definitions
- "Account" means your registered user account for the Service.
- "Business Customer" means anyone who uses the Service for purposes related to their trade, business, craft or profession, including agencies, freelancers, companies, public bodies and non-profit organisations.
- "Consumer" means a natural person who uses the Service for purposes that are mainly outside their trade, business, craft or profession.
- "Customer Content" means everything you or your users submit to the Service: client names and images, QR code designs, logos, destination URLs, link titles, campaign names, UTM parameters, support messages, and similar content.
- "Scan Data" means the information recorded when someone scans one of your QR codes or opens one of your short links (see the Privacy Policy).
- "Your Clients" means third parties for whom you manage campaigns in the Service, including anyone you give a Client ID or dashboard link to.
- "Paid Plan" means any plan or product that costs money, including subscriptions (monthly or annual), the Lifetime plan, top-up packs and extra Custom Domains.
- "Custom Domain" means a domain or subdomain that you connect to the Service so that your short links and QR codes use it instead of our redirect domain (for example go.yourbrand.com/offer).
2. Who may use the Service
2.1 Business service. The Service is designed and marketed for Business Customers. When you create an Account you confirm that you are using the Service for business or professional purposes, unless you tell us otherwise in writing. If you are acting on behalf of an organisation, you confirm that you are authorised to bind it to these Terms, and "you" refers to that organisation.
2.2 Consumers. If you are nevertheless a Consumer, every provision of these Terms marked "Consumers" applies to you, together with any rights you have under the mandatory law of your country of residence. Nothing in these Terms limits those rights.
2.3 Age. You must be at least 18 years old, or the age of legal majority where you live if that is higher, and legally able to enter into contracts.
2.4 Sanctions and export control. You may not use the Service if you are located in, or ordinarily resident in, a country or region subject to comprehensive EU, UN, UK or US sanctions, or if you or your organisation appear on a sanctions list of any of them. You must not use the Service in breach of export control or sanctions laws.
3. How the contract is formed
3.1 Free Account. Our website is an invitation to register, not a binding offer. You make an offer to enter into a contract by completing the sign-up form (or signing in with Google for the first time) and confirming your email address. The contract is formed when we activate your Account.
3.2 Paid Plans. You choose a plan and billing interval on the Billing page, review the summary (plan, price, billing interval, renewal terms), confirm the required statements, and are taken to our payment provider Stripe. Until you click the final payment button you can correct your entries by using the back button, changing your selection, or closing the window. By clicking the payment button you make a binding offer. The contract is formed when the payment is successfully authorised and we confirm the order by email.
3.3 Contract language and storage. The contract is concluded in English. We store the version of these Terms that applied when you accepted them and send you the key contract information by email after each purchase. You can view and print the current versions of all documents at any time on this website.
3.4 Technical requirements. The Service runs in current versions of common web browsers (Chrome, Safari, Firefox, Edge) with JavaScript enabled and an internet connection. QR codes can be scanned by any standard QR reader. We do not guarantee compatibility with every device, reader app or print process.
4. Your Account
4.1 You must provide accurate, complete information and keep it up to date. 4.2 You are responsible for keeping your login credentials confidential and for all activity under your Account. Tell us immediately at support@trackero.co if you suspect unauthorised access. 4.3 Accounts are personal to the registered user or organisation. You may not sell, transfer or share an Account, or create multiple free Accounts to get around plan limits. 4.4 We may refuse a registration, for example where we have reason to believe the AUP would be breached.
5. The Service
5.1 Scope. The Service lets you create static and dynamic QR codes and short links, manage clients and campaigns, view scan analytics and share read-only client dashboards. The features available to you depend on your plan, as described on the Billing page at the time of purchase.
5.2 How dynamic QR codes and short links work. Most QR codes and all short links created with the Service point to our redirect domain (shoort.link), which then forwards the person scanning to your destination. They therefore only keep working while the Service operates and your code or link exists in your Account. If you delete a code, a link or your Account, or if the Service ends (see Section 15), they stop redirecting. You are responsible for deciding whether this is acceptable for your use case, especially for printed or permanent materials.
5.3 Test before you print. Before you print or distribute any code, you must test it on several devices and check that it reaches the right destination. We are not liable for the cost of printing, reprinting, distributing or replacing physical materials, except where Section 13 says otherwise.
5.4 Analytics are estimates. Scan counts, unique visitor counts, locations and device information are derived from technical signals (such as IP-based location provided by our network providers and the browser's user agent). They can be incomplete or inaccurate, for example because of VPNs, shared networks, privacy features, link previews, bots or reader apps. They are provided for information only and are not suitable as the sole basis for billing your own clients or for any legal purpose.
5.5 Changes to the Service. We continuously develop the Service and may change, add or remove features. We will not materially reduce the core functionality of a Paid Plan during a period you have already paid for, unless the change is required by law, by security needs, or by a third-party provider we depend on. If a change materially and adversely affects you, we will tell you in advance where reasonably possible, and you may cancel and receive a pro-rata refund of prepaid fees for the unused period. Consumers keep their rights under the applicable law on digital services (including Article 19 of Directive (EU) 2019/770 as implemented in their country).
5.6 Free plan. The free plan is provided free of charge and without any availability or support commitment. We may change its limits or features, or discontinue it, by giving at least 30 days' notice.
5.7 Beta features. Features labelled "beta", "preview" or similar are provided for testing, may change or be withdrawn at any time, and are excluded from any commitments in these Terms to the extent permitted by law.
5.8 Support. We provide support by email and through the in-app support page on a reasonable- efforts basis during normal business days. Response times stated on our website are targets, not guarantees.
5.9 Custom Domains. Plans that include Custom Domains (currently Max and Lifetime) let you connect your own domain or subdomain. One Custom Domain is included in the plan. Further domains are a Paid Plan billed as described in the Subscription Policy. The following applies to every Custom Domain:
- Your right to the domain. You confirm that you own the domain, or that its owner has authorised you to connect it, and that the domain name does not infringe trademarks, names or other rights of third parties and does not mislead people about who is behind it. You must not connect a domain that imitates another person, brand or organisation.
- Registration and DNS are your responsibility. We are not a domain registrar or DNS provider, and we have no access to your domain's settings. You are responsible for registering and renewing the domain with your registrar, for the DNS records at your DNS provider, and for complying with their terms. Before we activate a Custom Domain, you prove that you control it by adding the DNS records we show you. These records must stay in place for as long as the domain is connected, and we check them regularly.
- When links on it stop working. Links and QR codes on a Custom Domain only work while the domain is registered, its DNS records point to us and the domain is connected to your Account. If the domain expires or is transferred, its DNS records are changed or removed, or verification fails, those links and QR codes stop working, including printed ones. This is outside our control and does not entitle you to a refund. Each link and QR code also keeps a backup address on our redirect domain (shoort.link), which is not affected.
- Whole domains. If you connect a whole domain (for example yourbrand.com) rather than a subdomain, every visit to that domain goes through the Service: an address that is not one of your links leads to the redirect page you choose. Anything else that was on that domain, such as a website, is then no longer reachable there. You are responsible for that choice. Some DNS providers do not support connecting a whole domain.
- Our providers and certificates. Custom Domains are served through Cloudflare. To serve them securely, a certificate authority issues a TLS certificate for the domain on our behalf. Certificates are recorded in public Certificate Transparency logs, so the name of a connected domain becomes publicly visible. Do not connect a domain whose name you want to keep confidential.
- Data on your Custom Domains. Visitors see your domain, not ours. Section 9.3 applies to Scan Data collected on it, so your privacy information should cover it.
- Disconnecting. You can disconnect a Custom Domain at any time. Links and QR codes on it stop working once it is disconnected (for an extra domain, at the end of the month you paid for, see the Subscription Policy). We remove the domain from our provider, but you should also remove the DNS records we asked you to add.
- If your plan no longer includes Custom Domains. Links and QR codes you already created on a connected Custom Domain keep working, but you cannot create new ones or connect further domains until your plan includes Custom Domains again. We may end this continued service for Accounts without a qualifying plan by giving at least 30 days' notice. Extra domains remain billed until you disconnect them or cancel them.
- Disputes and abuse. We may disable links on a Custom Domain, or pause or disconnect the domain, under Section 10, in particular for phishing or other abuse, an infringement of third-party rights, a substantiated claim that you are not entitled to the domain, or a court or authority order. Disputes about who is entitled to a domain are between you and the other party (for example under the registry's dispute policy, such as the UDRP). We do not decide them. A domain can be connected to only one Account at a time.
6. Availability, maintenance and outages
6.1 We work to keep the Service available around the clock but, unless we have agreed a written service level with you, we do not guarantee any particular availability. The Service depends on the internet and on third-party infrastructure (hosting, database, network, DNS, email and payment providers) that we do not control.
6.2 We may carry out maintenance that temporarily limits the Service. We try to schedule planned maintenance at low-traffic times and to announce it in advance where it is expected to cause noticeable downtime.
6.3 Temporary interruptions do not entitle you to a refund or credit, except as follows: if a Paid Plan is completely or substantially unavailable for more than 7 consecutive days for reasons within our control, you may ask for a pro-rata credit or refund for that period, or cancel with immediate effect and receive a pro-rata refund of prepaid fees for the unused period. For Business Customers, and to the extent permitted by law, this is your sole and exclusive remedy for unavailability of the Service. Details are in the Subscription Policy.
6.4 Consumers: if the Service does not conform to the contract, you have the remedies provided by law (bringing it into conformity, a proportionate price reduction, or termination), and nothing in this Section restricts them.
7. Plans, fees, renewal and payment
7.1 Prices. Prices are shown in euros on the Billing page and on our pricing page. Unless stated otherwise at checkout, prices include any value added tax (VAT) that we are required to charge. Business Customers are responsible for any other taxes, duties or bank charges that apply to them, and for providing a valid VAT identification number where reverse-charge rules apply.
7.2 Automatic renewal. Subscriptions are billed in advance and renew automatically at the end of each billing period (monthly or annually, as selected) for the same period and at the then-current price, until you cancel. You authorise us and Stripe to charge your payment method at the start of each period. You can cancel at any time as described in Section 8.
7.3 Lifetime plan and top-ups. The Lifetime plan and top-up packs are one-time purchases that do not renew. Their specific terms, including what "lifetime" means, are set out in the Subscription Policy and form part of these Terms.
7.3a Extra Custom Domains. Each Custom Domain beyond the one included in your plan is billed per domain every month, on a subscription of its own that is separate from your plan. This also applies to Lifetime accounts and annual plans. It renews automatically every month until you disconnect the domain or cancel. The details are in the Subscription Policy.
7.4 Plan changes. When you upgrade or switch between subscription plans, the change takes effect immediately and the prorated difference is charged (or credited to your billing balance for future invoices) at once, as shown before you confirm.
7.5 Price changes. We may change the prices of subscriptions with effect for future billing periods. We will notify you by email at least 30 days before a price increase takes effect for you (or within any different notice window required by the law that applies to you). The new price applies from your next renewal after the notice period. If you do not agree, you can cancel before the new price takes effect, and you will not be charged it. Prices you have already paid are never increased retroactively.
7.6 Failed payments. If a payment fails, Stripe will retry it over a period of time and we will let you know so you can update your payment method. Your Paid Plan features remain available while retries are pending. If payment still cannot be collected, the subscription ends and your Account moves to the free plan (see the Subscription Policy). Amounts due remain owed.
7.7 Invoices. You can access receipts and invoices in the billing portal (Billing → Manage billing). You agree to receive invoices electronically.
7.8 Chargebacks. Please contact us before disputing a charge with your bank. If you initiate a chargeback for a charge that was validly made, we may suspend Paid Plan features until the matter is resolved and, for Business Customers, recover the fees the payment provider charges us.
7.9 Promotions. Discount codes and promotional prices apply only as stated in the offer, cannot be exchanged for cash, and, unless stated otherwise, apply only to the first billing period.
8. Cancellation, refunds and right of withdrawal
8.1 How to cancel. You can cancel a subscription at any time, without giving reasons, through any of these channels:
- in the app under Billing → Manage billing → Cancel subscription;
- using the "Cancel your contract here" page, which is available without signing in;
- by email to billing@trackero.co.
We confirm every cancellation by email.
8.2 Effect of cancellation. Cancellation takes effect at the end of the current billing period. Until then you keep full access to your Paid Plan. After that, your Account automatically moves to the free plan and is not charged again. Your Account and data are not deleted by cancelling. What happens to each feature is explained in the Subscription Policy.
8.3 Refunds. Except where these Terms, the Subscription Policy or mandatory law provide otherwise, fees already paid are not refundable, and cancelling during a billing period does not entitle you to a partial refund for the rest of that period.
8.4 Consumers: statutory right of withdrawal. If you are a Consumer in the European Union, the European Economic Area, the United Kingdom or Switzerland (or another country with an equivalent statutory right), you have a right to withdraw from the contract within 14 days without giving any reason. The full withdrawal information, how to use our withdrawal function, the consequences of withdrawal and the model withdrawal form are set out in the Subscription Policy and in your order confirmation email.
8.5 Annual subscriptions of Consumers in Germany. If you are a Consumer resident in Germany, after the first contractual year has ended, your annual subscription continues for an indefinite period rather than renewing for another year, and you may terminate it at any time with one month's notice. We refund any prepaid fees for the period after termination on a pro-rata basis.
9. Your content and your responsibilities
9.1 Ownership. You keep all rights in your Customer Content. You grant us a worldwide, non-exclusive, royalty-free licence, for the duration of the contract and any retrieval period afterwards, to host, store, copy, process, transmit and display Customer Content solely to provide, secure and support the Service, including generating QR codes, performing redirects and showing dashboards you choose to share.
9.2 Your responsibility. You are solely responsible for your Customer Content and for every destination your QR codes and links point to. You confirm that you have all rights, licences and consents needed for them, including for any logos and trademarks you place in or around QR codes, and that they comply with the law and the AUP.
9.3 Scan Data and data protection. When you use the Service to measure scans and clicks, you decide why and how that data is processed, so you are the controller of Scan Data and we act as your processor under the DPA. You are responsible for having a legal basis for this processing and for informing the people who scan your codes or open your links (for example with a privacy notice on your landing page or near the code), as required by the data protection laws that apply to you.
9.4 Client dashboards. When you activate a client dashboard, anyone who has the Client ID or dashboard link can view the analytics it shows, without signing in. You decide whom to share it with, and you are responsible for that disclosure. You can deactivate a dashboard at any time.
9.5 Backups. We back up the Service for disaster recovery, but we are not a backup or archiving service for you. You should export data you need to keep (for example using the data export in Settings or the CSV exports in analytics).
9.6 Feedback. If you send us ideas or suggestions, we may use them without restriction or payment. This does not give us any rights in your Customer Content.
10. Acceptable use, moderation and suspension
10.1 You must comply with the AUP. In particular, you must not use the Service for phishing, malware, fraud, illegal content or deceptive redirects, on our redirect domain or on a Custom Domain.
10.2 Content moderation. We may review QR codes, links and destinations (manually or with automated checks) to detect abuse. If we have reasonable grounds to believe that Customer Content is illegal or breaches these Terms or the AUP, or if we receive a substantiated notice under Article 16 of the EU Digital Services Act, we may disable individual codes or links, deactivate dashboards, restrict features, or suspend the Account. We act proportionately, taking into account the severity of the issue, and in a timely, diligent, non-arbitrary and objective way.
10.3 Statement of reasons and appeal. When we restrict your content or Account, we tell you what we restricted, why, on what basis (legal provision or contract clause), whether automated means were used, how long the restriction lasts, and how you can challenge it, unless the law prohibits us from telling you or the content is deceptive high-volume commercial content. You can contest any decision by replying to our notice or writing to legal@trackero.co. A human will review it. You may also use out-of-court dispute settlement or go to court.
10.4 Immediate action. We may act without prior notice where necessary to prevent harm, including phishing, malware, fraud, security threats, legal orders, or risks to the Service or other users. Otherwise we give you prior notice and an opportunity to fix the issue.
10.5 Where we suspend Paid Plan features for your breach of these Terms, fees for the affected period are not refunded, except where mandatory law requires it.
11. Our intellectual property
The Service, including its software, design, text, graphics, trademarks and logos (but excluding Customer Content), is owned by us or our licensors and protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for the duration of the contract. QR code images you generate with the Service may be used by you and Your Clients for any lawful purpose. You may not copy, modify, resell, sublicense, frame or reverse-engineer the Service, except where the law expressly permits this despite a contractual restriction. Agencies may give Your Clients access to dashboards as part of their own services.
12. Third-party services
The Service relies on or links to third-party services (such as Stripe for payments, Google for sign-in, the registrar and DNS provider of any Custom Domain, and the websites your codes point to). Your use of those services is governed by their own terms. We are not responsible for third-party websites, content or services we do not control, including destination pages and your domain registrar or DNS provider.
13. Warranties and limitation of liability
13.1 Business Customers. To the maximum extent permitted by law, the Service is provided "as is" and "as available". We make no warranties, express or implied, including of merchantability, fitness for a particular purpose, accuracy of analytics, or uninterrupted or error-free operation, except as expressly stated in these Terms.
13.2 Unlimited liability. Nothing in these Terms excludes or limits our liability (a) for intent (wilful misconduct) or gross negligence; (b) for death or personal injury; (c) for fraud or fraudulent misrepresentation; (d) under product liability law; (e) under any guarantee we have expressly given; or (f) for any other liability that cannot be excluded or limited under applicable law.
13.3 Ordinary negligence. Subject to Section 13.2, where we are liable for ordinary (slight) negligence, we are liable only for breach of essential contractual obligations, meaning obligations whose fulfilment is necessary for the proper performance of the contract and on which you may regularly rely. In that case our liability is limited to the damage that is typical for this type of contract and was foreseeable when the contract was concluded.
13.4 Excluded damages (Business Customers). Subject to Section 13.2, we are not liable for indirect or consequential loss, loss of profits, revenue, business, goodwill or anticipated savings, loss or corruption of data where you could have prevented it by reasonable backups, costs of printing, reprinting or replacing materials, or loss caused by the registration, renewal, DNS configuration or loss of a Custom Domain.
13.5 Liability cap (Business Customers). Subject to Section 13.2, our total aggregate liability arising out of or in connection with the contract, whether in contract, tort (including negligence) or otherwise, is limited to the greater of (a) the fees you paid to us in the 12 months before the event giving rise to the claim and (b) one hundred euros (EUR 100).
13.6 Consumers. If you are a Consumer, Sections 13.1, 13.4 and 13.5 do not apply. Our liability is governed by Sections 13.2 and 13.3 and by the mandatory law of your country of residence. You have the statutory guarantee of conformity for digital services.
13.7 The limitations above also apply to the personal liability of our employees, officers, representatives and subcontractors.
14. Indemnity (Business Customers)
If you are a Business Customer, you will indemnify and hold us harmless from third-party claims (including claims by Your Clients, people who scan your codes, rights holders and authorities), and related reasonable costs including legal fees, to the extent they arise from your Customer Content, the destinations of your codes and links, your Custom Domains (including claims that you were not entitled to a domain or that its name infringes third-party rights), your processing of Scan Data, your breach of these Terms or the AUP, or your violation of law. We will tell you promptly about such a claim, let you control the defence where appropriate, and cooperate reasonably. This does not apply to the extent we caused the claim.
15. Term, termination and discontinuation of the Service
15.1 Term. The contract runs for an indefinite period. Subscriptions run for the selected billing period and renew as described in Section 7.2.
15.2 Your termination. You can end the whole contract at any time by deleting your Account in Settings. Deleting your Account immediately and permanently deletes your data, cancels any active subscription (including for extra Custom Domains) without a refund for the current period, disconnects your Custom Domains, and stops all of your QR codes and links from working. Export your data first if you need it.
15.3 Our ordinary termination. We may terminate a free Account by giving at least 30 days' notice, and a Paid Plan with effect at the end of the current billing period by giving at least 30 days' notice (Lifetime plans: see Section 15.5).
15.4 Termination for cause. Either party may terminate the contract with immediate effect for good cause. For us, good cause includes a serious or repeated breach of these Terms or the AUP (in particular phishing, malware or fraud), non-payment despite reminders, use of the Service in breach of sanctions, or where continuing would expose us to legal liability. Where reasonable, we give you a warning and an opportunity to fix the breach first.
15.5 Discontinuation of the Service. We may permanently discontinue the Service as a whole, or a Paid Plan, by giving at least 60 days' notice by email. During the notice period the Service, including redirects, continues to operate and you can export your data. When the Service ends, we refund prepaid subscription fees for any period after the end date on a pro-rata basis, and apply the special Lifetime and top-up rules in the Subscription Policy. A shorter notice period applies only where we are forced to stop sooner by law, by an authority, by a provider we depend on, or by events beyond our reasonable control (Section 16); in that case we give as much notice as we reasonably can.
15.6 Data after termination and switching (EU Data Act). You can export your data at any time. If we terminate your Account (other than at your request), your data remains retrievable for at least 30 days after termination, unless the law or a court or authority prohibits this or the termination is due to illegal content (in which case the illegal content itself is not made available). If you want to switch to another provider, you may terminate with a notice period of no more than two months; we will support the switch with reasonable assistance, provide your exportable data (account details, clients, QR codes, links, designs and Scan Data in a structured, machine-readable format such as JSON or CSV), keep the Service running during a transition period of up to 30 days, and charge no switching or data-export fees. Your data is deleted after the retrieval period ends, subject to legal retention obligations.
15.7 Survival. Sections that by their nature should survive termination (including 9.3, 13, 14, 15.6, 18 and 19) survive it.
16. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, government action, sanctions, strikes (other than of our own staff), large-scale internet or power failures, cyber attacks despite reasonable security measures, and outages of third-party hosting, network, database or payment providers. Our obligations are suspended for the duration of the event. If an event prevents us from providing a Paid Plan for more than 30 days, either party may terminate, and we refund prepaid fees for the unused period pro rata.
17. Changes to these Terms
17.1 We may change these Terms for valid reasons, such as changes in law, court decisions, security requirements, new features or changes to our providers, provided the change is reasonable for you and does not alter the essential balance of the contract.
17.2 We will tell you about material changes by email or in the app at least 30 days before they take effect, and explain what changes. Changes that are required by law, or that only benefit you, can take effect sooner.
17.3 If you do not agree, you can terminate the contract before the changes take effect, and we refund prepaid fees for the period after termination pro rata. For Business Customers, continuing to use the Service after the effective date means you accept the changes. For Consumers, we will ask for your express consent where the law requires it; if you do not consent, we may terminate the contract with at least 30 days' notice and refund prepaid fees pro rata.
18. Governing law and disputes
18.1 Governing law. These Terms and any non-contractual obligations arising from them are governed by the laws of Bulgaria, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Consumers: this choice of law does not deprive you of the protection of the mandatory provisions of the law of your country of habitual residence.
18.2 Courts (Business Customers). The courts of [City of registered office], Bulgaria have exclusive jurisdiction for all disputes arising out of or in connection with these Terms. We may also bring claims at your registered office.
18.3 Courts (Consumers). You may bring proceedings in the courts of your country of residence or in the courts of Bulgaria. We may only bring proceedings against you in the courts of your country of residence.
18.4 Business Customers outside the EU/EEA, UK and Switzerland. To the extent permitted by law, disputes will be resolved on an individual basis only. You waive any right to participate in a class, collective or representative action against us and, where applicable, any right to a jury trial.
18.5 Talk to us first. Before starting formal proceedings, please contact legal@trackero.co so that we can try to resolve the issue informally within 30 days. This does not prevent either party from seeking urgent interim relief.
18.6 Consumer dispute resolution. We are neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.
19. General provisions
19.1 Notices. We send notices to the email address of your Account, which you must keep up to date. Notices to us must be sent to legal@trackero.co. Emails count as written notice. 19.2 Assignment. We may transfer the contract to an affiliate or to a successor in connection with a merger, acquisition or sale of all or substantially all of the relevant assets, provided your rights under these Terms are not reduced; we will inform you, and Consumers may terminate if they object. You may not transfer the contract without our prior written consent. 19.3 Subcontractors. We may use subcontractors, and we remain responsible for them. 19.4 Severability. If any provision is invalid or unenforceable, the rest remains in effect, and the invalid provision is replaced by the statutory rule (for Consumers) or by a valid provision that comes closest to its purpose (for Business Customers). 19.5 No waiver. Not enforcing a right is not a waiver of it. 19.6 Entire agreement. These Terms and the documents they reference are the entire agreement on their subject matter and replace prior agreements, except any individually signed agreement. Business Customers' own terms and conditions do not apply, even if we do not object to them. 19.7 Independent parties. No partnership, agency or employment relationship is created. 19.8 Language. If we provide translations, the English version prevails to the extent permitted by law.
